By accessing or using the MKM Vault Secure Logistics website and services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

2. Services Overview

MKM Vault provides freight brokerage and logistics services including but not limited to:

• Freight dispatching and load matching
• Carrier and shipper coordination
• Transportation management
• Billing and accounting services
• IFTA reporting and compliance
• 24/7 operational support

3. Carrier Requirements

To participate in our carrier network, you must:

• Possess valid MC (Motor Carrier) Authority
• Maintain current DOT registration
• Carry minimum insurance coverage ($1,000,000 liability, $100,000 cargo)
• Provide accurate and up-to-date documentation
• Comply with all federal and state transportation regulations
• Maintain equipment in safe operating condition

4. Service Agreement

Our services are provided on a month-to-month basis with no long-term commitment required. Either party may terminate the relationship with proper notice as outlined in individual service agreements.

5. Payment Terms

• Carriers: Payment terms will be outlined in individual carrier agreements. Quick-pay and factoring options are available.
• Shippers: Payment is due per agreed terms, typically within 30 days of invoice date unless otherwise specified.
• Late payments may incur fees as specified in service agreements.

6. SMS Terms & Conditions

6.1 SMS Consent Communication

Phone numbers obtained as part of the SMS consent process will NOT be shared with third parties for marketing purposes.

6.2 Types of SMS Communications

If you consent to receive text messages from MKM Vault, you may receive messages related to:

• Service updates
• Order and load confirmations
• Appointment reminders
• Verification messages
• Account status notifications

6.3 Message Frequency

Message frequency may vary depending on your service level and communication needs. You may receive up to 5 SMS messages per week regarding your loads, appointments, or account status.

6.4 SMS Fees

Standard message and data rates may apply per your mobile carrier's pricing plan. These fees may vary if messages are sent domestically or internationally.

6.5 Opt-In Method

You may opt-in to receive SMS messages from MKM Vault by:

• Completing a website form with SMS consent checkbox
• Texting a keyword to our designated number
• Providing consent via phone or written agreement

6.6 Opt-Out Method

You can opt-out of SMS messages at any time by:

• Replying STOP, UNSUBSCRIBE, or CANCEL to any SMS

7. Limitation of Liability

MKM Vault acts as a freight broker and arranges transportation but does not operate as a carrier. We are not liable for:

• Loss, damage, or delay of cargo caused by carriers
• Acts of God, natural disasters, or circumstances beyond our control
• Carrier compliance failures or regulatory violations
• Indirect, incidental, or consequential damages

Our maximum liability is limited to the fees paid for our brokerage services.

8. Indemnification

You agree to indemnify and hold harmless MKM Vault, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of our services
• Violation of these terms
• Violation of any laws or regulations
• Violation of any third-party rights

9. Intellectual Property

All content on this website, including logos, trademarks, text, graphics, and software, is the property of MKM Vault and is protected by copyright and trademark laws. Unauthorized use is prohibited.

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary information, trade secrets, and sensitive business data disclosed during the course of our relationship.

11. Force Majeure

Neither party shall be liable for failure to perform obligations due to causes beyond reasonable control, including natural disasters, war, government actions, pandemics, or system failures.

12. Dispute Resolution

Any disputes arising from these terms shall be resolved through:

• Good faith negotiation between parties
• Mediation if negotiation fails
• Binding arbitration in Houston, Texas

13. Governing Law

These Terms and Conditions are governed by the laws of the State of Texas and applicable federal transportation regulations. Jurisdiction for any legal proceedings shall be in Houston, Texas.

14. Modifications

MKM Vault reserves the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website. Continued use of our services after modifications constitutes acceptance of the updated terms.

15. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms and Conditions, along with any service-specific agreements, constitute the entire agreement between you and MKM Vault regarding use of our services.
